3. Nature of Our Services

3.1 Consultancy and Facilitation

UnitPay acts as a payment solutions consultant and facilitator. We connect merchants with licensed payment processors, acquiring banks, and financial institutions. We do not:

  • Directly process payments or handle funds
  • Hold or manage merchant funds
  • Issue banking products directly
  • Guarantee approval by any Partner

3.2 Partner Services

All payment processing, banking services, and financial operations are performed by our Partner organizations under their respective licenses and regulatory compliance within their operating jurisdictions. Each Partner has their own terms of service, fee structures, and approval criteria.

4. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding agreements
  • Operate a legitimate business
  • Provide accurate and complete information
  • Comply with all applicable laws and regulations

We reserve the right to refuse service to anyone for any reason, particularly if we suspect fraudulent or illegal activity.

5. Application and Approval Process

5.1 Application Submission

When you submit an application through our Website, you agree to provide accurate, current, and complete information about your business. Providing false or misleading information may result in rejection or termination of services.

5.2 No Guarantee of Approval

Submission of an application does not guarantee approval. All applications are subject to review and approval by our Partners. Approval decisions are made at the sole discretion of the respective Partner and may depend on various factors including:

  • Processing history and volume

  • Financial stability

5.3 Due Diligence

6. Fees and Payments

6.1 Consultation Fees

Initial consultations and application assistance are typically provided at no charge. Any applicable fees will be clearly communicated and agreed upon before services are rendered.

6.2 Partner Fees

Payment processing fees, setup fees, monthly fees, and other charges are determined by our Partners and will be detailed in your agreement with the respective Partner. UnitPay is not responsible for fees charged by Partners.

6.3 Fee Changes

We reserve the right to modify our fee structure with reasonable notice. Partner fees are subject to their own terms and may change according to their policies.

7. Your Obligations

By using our Services, you agree to:

  • Provide accurate and truthful information
  • Maintain compliance with all applicable laws and regulations
  • Not use our Services for illegal or fraudulent purposes
  • Not misrepresent your business, products, or services
  • Cooperate with reasonable requests for information or documentation
  • Promptly notify us of any material changes to your business
  • Maintain adequate security measures for your business operations
  • Comply with all Partner agreements and requirements

8. Prohibited Activities

You may not use our Services in connection with:

  • Illegal activities or products
  • Money laundering or terrorist financing
  • Fraud, deception, or misrepresentation
  • Activities that violate intellectual property rights
  • Sale of counterfeit goods
  • Activities prohibited by applicable law or regulations

9. Intellectual Property

11. Limitation of Liability

UnitPay provides consulting and matching services only. We are not responsible for:

  • Decisions made by Partners regarding approval or rejection
  • Service quality or reliability of Partner services
  • Fees, chargebacks, or disputes handled by Partners
  • Technical issues or downtime of Partner systems
  • Financial losses resulting from Partner relationships

11.2 Maximum Liability

To the maximum extent permitted by law, UnitPay's total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you have paid to UnitPay in the twelve (12) months preceding the claim.

11.3 Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless UnitPay, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your business operations and relationships with Partners
  • Any third-party claims related to your business activities

13. Termination

13.1 Termination by You

You may terminate your relationship with UnitPay at any time by providing written notice. Termination does not affect any obligations or liabilities incurred prior to termination.

13.2 Termination by Us

We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Failure to provide requested information
  • Material misrepresentation
  • Business closure or inability to operate

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable Member State where UnitPay is established. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

15. Dispute Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue formal legal remedies.

For consumers within the EU, you may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our Website. Your continued use of our Services after any changes constitutes acceptance of the modified Terms.

We encourage you to review these Terms periodically. Material changes will be communicated through our Website or via email where appropriate.

17. Severability
